1. Introduction
Welcome to RENation ("we," "our," or "us"). These Terms and Conditions govern your access to and use of our website, services, and any related applications or platforms (collectively, the "Services").
RENation is headquartered in Toronto, Ontario, Canada, and operates globally to create employment in Afghanistan through cooperative manufacturing investments.
By accessing or using our Services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access our Services.
2. Organization Overview
RENation is a for-profit cooperative that pools investments from Afghan diaspora to build manufacturing facilities in Afghanistan. We operate as a cooperative investment platform, bringing together shareholders to fund factories that employ Afghan workers, particularly women, across Afghanistan.

Our Services include but are not limited to:

4. Geographic Scope
While RENation is based in Toronto, Canada, we raise capital globally from Afghan diaspora and operate manufacturing facilities in Afghanistan. Our Services may be accessed from anywhere in the world, subject to local laws and regulations.
5. User Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.
6. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

8. Investment and Shareholder Engagement
When purchasing cooperative shares or engaging with RENation for investment purposes:

You agree to provide accurate and complete information about your identity and financial capacity

You understand that all investments carry risk, including potential loss of capital

You acknowledge that manufacturing in Afghanistan involves significant operational, political, and economic risks

You agree to participate in cooperative governance according to bylaws

You understand that detailed investment terms are provided in separate shareholder agreements
9. Network Participation
For individuals contributing to operations, management, or recruitment:

Participation is voluntary and project-based

You maintain your independent professional status unless hired as employee

You agree to meet professional standards and ethical guidelines

You will provide services according to project-specific agreements

You acknowledge that participation does not automatically create employment relationship

You agree to maintain confidentiality regarding operational and financial information
10. Financial Relationships

All investment arrangements are documented in separate shareholder agreements

These Terms do not create any financial obligations beyond Services usage

Investment opportunities are subject to applicable securities laws

We do not guarantee any financial returns, employment outcomes, or operational success

Past performance of similar cooperative or manufacturing models does not guarantee future results
11. Privacy and Data Protection
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with applicable privacy laws including Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, international privacy regulations.
12. Third-Party Services and Links
Our Services may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of use of any third-party services. Your use of third-party services is at your own risk.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Factory employment numbers, revenue projections, and impact estimates are targets, not guarantees
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
RENation, its directors, officers, employees, agents, and network participants shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our Services, including but not limited to:

Loss of investment capital or expected returns

Loss of employment opportunities

Factory operational failures or closures

Political instability or security incidents affecting operations

Loss of data or information

Project delays or cancellations
Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the amount you paid to RENation in the twelve (12) months preceding the claim, or CAD $1,000, whichever is greater.
15. Indemnification
You agree to indemnify, defend, and hold harmless RENation, its affiliates, officers, directors, employees, agents, and network participants from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

Your use of our Services

Your violation of these Terms

Your violation of any applicable laws or regulations

Any information or content you provide through our Services

Your investment decisions or participation in cooperative operations
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada. However, we retain the right to bring proceedings in any jurisdiction where you reside or where a breach occurs.
For users outside Canada, you agree that by using our Services, you consent to the application of Canadian law and the jurisdiction of Canadian courts.
17. International Users
If you access our Services from outside Canada, you are responsible for compliance with local laws and regulations. By using our Services, you consent to the transfer of your information to Canada and processing in accordance with Canadian privacy laws.
We make no representation that our Services are appropriate or available for use in all jurisdictions. Access to our Services may not be legal in certain countries, and you are responsible for determining whether your use complies with local laws.
18. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Services after changes are posted constitutes your acceptance of the modified Terms.

19. Termination
We reserve the right to suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Upon termination:

Any obligations that by their nature should survive termination will continue (including confidentiality obligations, indemnification, and limitations of liability)

We may delete any content or information you have provided

Shareholder rights continue according to separate shareholder agreements
You may terminate your relationship with RENation at any time by ceasing to use our Services, subject to any outstanding shareholder obligations.
20. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
21. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and RENation regarding your use of our Services, superseding any prior agreements or understandings.
Shareholder agreements and employment contracts may supplement these Terms but do not replace them unless explicitly stated.
22. No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of RENation.
23. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
24. Force Majeure
RENation shall not be liable for any failure or delay in performing obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, or technical failures. Given operations in Afghanistan, political instability and security incidents are specifically acknowledged as potential force majeure events.
25. Language
These Terms are provided in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.
